By leveraging our deep B2B software positioning expertise and a robust investor network, we can assist and/or lead each of the process steps from crafting a compelling investment narrative, preparing a detailed financial model, creating marketing materials, curating the investor list, managing investor outreach, populating a dataroom, answering due diligence questions, and negotiating and closing a term sheet with a strategically aligned partner.

    Specific to a growth equity round, we are highly adept at negotiating the complexities that are often present in minority term sheets that can potentially result in suboptimal outcomes and misaligned incentives with investors.

  • Majority Recapitalization

    We are happy to assist and/or lead each of the process steps from preparing a detailed financial model, creating marketing materials, curating the investor list, managing investor outreach, populating a dataroom, responding to diligence questions, negotiating the SPA, and closing the transaction. Specific to a majority recap, we understand that giving up control of your business while rolling equity puts founders in a very delicate position in terms of finding the right partner.

    A majority recap process can become extremely arduous as control investors generally have more stringent due diligence requirements - we are experts at navigating this dynamic and providing maximum leverage to founders.

    Similar to a minority / majority recap we can assist and/or lead each of the process steps whether a company wants to “dual track” a strategic sale with growth equity and/or PE majority recap outreach or pursue a strategic sale as its sole option. Specific to a strategic sale, selling 100% of your business to a strategic requires an advisor that not only has deep connectivity to the most active software acquirers but also has experience building consensus across and positioning synergies to corporate development teams which tend to be more methodical than private equity investors.

  • Pre-Transaction Consulting

    Proper preparation well ahead of launching process is paramount for maximizing a capital raise or M&A outcome. We partner with companies as early as ~$1M ARR by providing consultative advice during the pre-transaction phase around a variety of subjects such as helping to refine business strategy, creating a proper software-specific P&L, understanding and tracking KPIs, developing an understanding of the various strengths and considerations of different funding sources, brokering introductions to other third-party advisors to partner with, how to best “test the waters” with select investors ahead of an official process launch etc.
